Terms of Service

Effective Date: December 25, 2025

These Terms of Service (“Terms”) govern your access to and use of all services provided by Dopamine (“Dopamine,” “we,” “us,” or “our”). By accessing or using any Dopamine service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

  1. Definitions

    The following terms have the meanings set forth below when used in these Terms:

    “Attribution” means the process by which Views on distributed Client Content are credited to a Campaign for billing purposes, based on Platform-reported metrics.

    “Billing Error” means a demonstrable, material discrepancy between (a) the Fees charged and (b) the Fees that should have been charged based on Platform-reported Views and the applicable CPM rate. Billing Error excludes differences arising from Platform reporting delays, retroactive metric adjustments by Platforms, or rounding.

    “Campaign” means an organized distribution effort within Ads Manager targeting specific audiences through designated social media accounts and personas.

    “Client Content” means any content, including images, videos, captions, links, hashtags, and profile information, provided by Client or uploaded through Content Vault for distribution through the Services.

    “Confidential Information” means non-public information disclosed by either party, including but not limited to business strategies, campaign performance data, pricing terms, client lists, and proprietary technology. Confidential Information does not include information that is (a) publicly available through no fault of the receiving party, (b) independently developed by the receiving party without reference to the disclosing party’s Confidential Information, or (c) rightfully received from a third party without restriction on disclosure.

    “CPM” means Cost Per Mille; the price charged per 1,000 Views attributed to Client Content distributed through the Services.

    “Fees” means all amounts owed by Client to Dopamine, including CPM charges, minimum deposits, and any other charges described in these Terms.

    “Platform” means any third-party social media service, including but not limited to Instagram, TikTok, YouTube, and X/Twitter, through which Client Content is distributed.

    “Services” means, collectively, the Ads Manager dashboard, Content Vault, Documentation site, and all related tools, features, and support provided by Dopamine.

    “Views” means engagements counted by the applicable Platform’s native analytics as reported to Dopamine, subject to Platform reporting delays and methodology.


  2. Scope of Services

    Dopamine provides a suite of integrated tools for social media content distribution and campaign management. The Services consist of the following components:

    Ads Manager. A dashboard for managing Campaigns, monitoring performance metrics, viewing billing and Attribution data, managing team members, and funding accounts.

    Content Vault. A content management system for uploading, organizing, and providing Client Content for distribution through Campaigns.

    Documentation. A knowledge base providing guides, frequently asked questions, a glossary, and operational documentation for using the Services.

    Dopamine may modify, add, or discontinue features of any Service component at any time with reasonable notice to Client. Continued use of the Services after such changes constitutes acceptance of the modified Services.

    Access to the Services requires an active account in good standing. Dopamine reserves the right to suspend or terminate access to any account that is not in good standing, including accounts with outstanding unpaid Fees or accounts in violation of these Terms.


  3. Client Content

    3.1 Rights Representation

    Client is solely responsible for the Client Content submitted through the Services. Client represents that Client has the authority to submit Client Content for distribution. Dopamine does not review, verify, or endorse Client Content and assumes no responsibility for its legality, accuracy, or compliance with any third-party terms.

    3.2 License Grant

    Client grants Dopamine a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display Client Content solely for the purpose of providing the Services, including distribution through Platforms, performance reporting, and internal analytics. This license terminates upon termination of the agreement between Client and Dopamine, except that Dopamine retains the right to maintain copies of Client Content for legal compliance and dispute resolution purposes for a period of 24 months after termination.

    3.3 Indemnification for Content

    Client agrees to indemnify, defend, and hold harmless Dopamine and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to Client Content.

    This Section 3.3 addresses indemnification obligations specific to Client Content. Additional indemnification terms of broader scope are set forth in Section 9.


  4. Platform Risk Disclaimers

    4.1 Third-Party Platforms

    Dopamine distributes Client Content through third-party Platforms over which Dopamine has no ownership, control, or editorial authority. Platforms may change their terms of service, algorithms, application programming interfaces (APIs), or policies at any time without notice to Dopamine. Dopamine is not responsible for any changes made by Platforms that affect the availability, performance, or functionality of the Services.

    4.2 Enforcement Actions

    Platforms may take enforcement actions against accounts used to distribute Client Content, including but not limited to content removal, account suspension, account termination, shadowbanning, or reduced distribution. Dopamine is not liable for any Platform enforcement action, regardless of the reason for such action. Client acknowledges that enforcement actions may result from factors outside Dopamine’s control, including Platform policy changes applied retroactively.

    4.3 Algorithm and Distribution Changes

    Platforms may modify their algorithms at any time, affecting content visibility, reach, engagement metrics, and distribution patterns. Changes to Platform algorithms are outside Dopamine’s control and may materially affect Campaign performance. Dopamine does not represent that any particular level of algorithmic favorability will be maintained for any Campaign.

    4.4 Irreversibility of Distribution

    Once Client Content has been distributed through Platforms, it may not be possible to fully remove, recall, or delete such content. Client acknowledges this inherent limitation of social media distribution. Dopamine will make commercially reasonable efforts to remove Client Content upon written request from Client, but Dopamine cannot guarantee complete removal from all Platforms, cached copies, third-party archives, or content that has been shared, reposted, or otherwise redistributed by Platform users.


  5. No Guarantee of Results

    Dopamine does not guarantee any specific number of Views, level of engagement, virality, reach, follower growth, conversions, sales, or other performance outcomes in connection with the Services. Past performance of Campaigns does not guarantee or indicate future results.

    Performance metrics reported through the Services are derived from Platform-reported data and are subject to each Platform’s reporting methodologies, which may change without notice to Dopamine or Client. Dopamine does not independently verify the accuracy of Platform-reported metrics.

    Client acknowledges that social media performance is inherently variable and influenced by numerous factors outside Dopamine’s control, including but not limited to Platform algorithm changes, competitive activity, market conditions, content quality, audience behavior, and external events.


  6. Billing and Payment

    6.1 CPM Pricing

    Fees are calculated on a CPM basis. The applicable CPM rate is set at the Campaign level and may vary by Campaign type, content format, or Platform. Dopamine reserves the right to adjust CPM rates with 14 days’ written notice.

    6.2 Attribution and Billing Methodology

    Views are attributed to Campaigns based on Platform-reported metrics. Billing is calculated by multiplying attributed Views (in thousands) by the applicable CPM rate. Platform reporting delays may cause billing to reflect in subsequent billing periods.

    6.3 Payment Methods

    Client may fund their account via credit/debit card (processed through Whop, subject to $500 per transaction limit), cryptocurrency (instant credit), or wire transfer (minimum $1,000, credited within 1-3 business days). All payments are in US Dollars unless otherwise agreed.

    6.4 Account Balance

    Services are prepaid. Client must maintain a positive account balance for Campaigns to remain active. When the account balance reaches zero, active Campaigns may be paused.

    6.5 Chargebacks

    If Client initiates a chargeback or payment dispute with their payment provider, Dopamine may immediately suspend all Services, and Client remains liable for all Fees incurred. Dopamine reserves the right to pursue collection of disputed amounts plus a $50 administrative fee per chargeback.


  7. Refund Policy

    7.1 General Rule

    All payments for Services are non-refundable except as expressly provided in Section 7.2.

    7.2 Billing Error Corrections

    If Client believes a Billing Error has occurred, Client must submit a written dispute to billing@DopamineOS.com within 15 days of the charge appearing on Client’s account. The dispute must include: (a) the specific charge(s) disputed, (b) the amount Client believes should have been charged, and (c) supporting evidence. Dopamine will investigate and respond within 30 business days. If Dopamine determines a Billing Error occurred, Dopamine will issue a credit to Client’s account balance, not a cash refund, within 30 business days.

    7.3 No Other Refunds

    For clarity, the following are not grounds for refund: dissatisfaction with Campaign performance, Platform enforcement actions affecting content, changes to Platform algorithms, Client’s decision to discontinue using the Services, or unused account balance except as required by applicable law.

  8. Disclaimers and Limitation of Liability

    8.1 Disclaimer of Warranties

    THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOPAMINE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

    8.2 Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOPAMINE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY CLIENT TO DOPAMINE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $100.

    8.3 Exclusion of Consequential Damages

    IN NO EVENT SHALL DOPAMINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

    8.4 Jurisdictional Carveouts

    Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Dopamine’s liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.


  9. Indemnification

    9.1 Client Indemnification

    Client agrees to indemnify, defend, and hold harmless Dopamine and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Client Content (as further specified in Section 3.3); (b) Client’s breach of these Terms; (c) Client’s violation of any applicable law or regulation; (d) Client’s use of the Services in violation of the Acceptable Use Policy; or (e) any third-party claim arising from Client’s use of the Services.

    9.2 Indemnification Procedure

    Dopamine shall promptly notify Client of any claim subject to indemnification, provide reasonable cooperation, and allow Client to control the defense, provided that Dopamine may participate with its own counsel at its own expense and that Client may not settle any claim without Dopamine’s prior written consent if the settlement imposes obligations on Dopamine.


  10. Confidentiality, Governing Law, and Dispute Resolution

    10.1 Confidentiality

    Each party agrees to maintain the confidentiality of the other party’s Confidential Information and to use it only for the purpose of performing obligations under these Terms. Confidentiality obligations survive termination for 3 years. Disclosure is permitted where required by law, provided the disclosing party gives reasonable prior notice where legally permitted.

    10.2 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

    10.3 Dispute Resolution

    Binding Arbitration. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its then-current rules. The arbitration shall take place in Cheyenne, Wyoming. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

    Class Action Waiver. Client agrees that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. Client waives any right to participate in a class action against Dopamine.


  11. Acceptable Use and Suspension

    11.1 Acceptable Use

    Client’s use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Dopamine may update the Acceptable Use Policy from time to time; continued use of the Services after such updates constitutes acceptance.

    11.2 Suspension

    Dopamine may suspend Client’s access to the Services, in whole or in part, immediately and without prior notice if: (a) Client breaches these Terms or the Acceptable Use Policy; (b) Client’s account balance is insufficient; (c) Dopamine reasonably believes Client’s use poses a security risk or may subject Dopamine to liability; or (d) required by law or Platform terms. Dopamine will provide notice of suspension and the reason as soon as reasonably practicable.

    11.3 Termination

    Either party may terminate these Terms with 30 days’ written notice. Dopamine may terminate immediately for cause (material breach, Acceptable Use Policy violation, illegal activity). Upon termination: (a) Client’s access to Services ceases; (b) any remaining account balance is non-refundable except as required by applicable law; (c) Dopamine may retain Client Content as specified in Section 3.2.


  12. General Provisions

    12.1 Survival

    The following sections survive termination or expiration of these Terms: Section 1 (Definitions, to the extent needed to interpret surviving sections), Section 3.3 (Content Indemnification), Section 5 (No Guarantee of Results), Section 7 (Refund Policy, for disputes arising before termination), Section 8 (Disclaimers and Limitation of Liability), Section 9 (Indemnification), Section 10 (Confidentiality, Governing Law, Dispute Resolution), and this Section 12.

    12.2 Entire Agreement

    These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements and understandings.

    12.3 Severability

    If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

    12.4 Waiver

    Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

    12.5 Assignment

    Client may not assign these Terms without Dopamine’s prior written consent. Dopamine may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

    12.6 Notices

    Notices to Client will be sent to the email address associated with Client’s account. Notices to Dopamine should be sent to legal@DopamineOS.com.

    12.7 Modifications

    Dopamine may modify these Terms at any time by posting updated Terms and providing 14 days’ notice via email or in-app notification. Continued use of the Services after the effective date of modified Terms constitutes acceptance. If Client does not agree to modified Terms, Client must stop using the Services and may terminate under Section 11.3.
